Please read these terms carefully before using buildory.in or placing a service order with us.
1. About Buildory
Buildory Private Limited (“Buildory”, “we”, “our”, or “us”) is a company incorporated under the laws of India and provides execution, production, printing, packaging, branding, and related business services.
2. Use of This Website
You agree to use buildory.in only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Copy, reproduce, or distribute any content from this website without our written consent
- Attempt to gain unauthorised access to any part of the website or its underlying systems
- Transmit any harmful, offensive, or unlawful material
- Use the site in any way that could damage, disable, or overburden our infrastructure
3. Website Information Disclaimer
Information presented on this website is for general informational purposes only and does not constitute a binding offer, quotation, warranty, or commitment to provide services unless confirmed separately in writing.
4. Service Engagement
a) Proposals & Quotations
All proposals and quotations issued by Buildory are valid for 14 days from the date of issue, unless otherwise specified. Quoted prices are subject to change based on material costs, import duties, or vendor rate revisions after quote expiry.
b) Order Confirmation
A service engagement is confirmed only upon receipt of a signed purchase order or written approval and the agreed advance payment. Verbal confirmations do not constitute a binding order.
c) Specifications & Artwork
Clients are responsible for supplying accurate artwork files, specifications, and brand assets. Buildory will not be liable for errors arising from incorrect or low-resolution files supplied by the client. Print-ready file guidelines will be shared at the time of order confirmation.
d) Sampling & Approval
For certain categories (packaging, gifts, display fabrication), physical or digital samples may be produced before mass production. Client approval of a sample constitutes acceptance of the final quality standard. Production proceeds only after explicit written approval.
5. Payment Terms
- Advance payments are generally non-refundable once production, procurement, design, sampling, vendor allocation, or related execution activities have commenced. The exact advance amount will be specified in the quotation.
- The balance payment is due prior to dispatch unless a credit arrangement has been separately agreed in writing.
- Delayed payments may attract interest at up to 18% per annum or such lower rate as required under applicable law.
- Buildory reserves the right to halt production or withhold delivery in case of non-payment.
6. Delivery & Timelines
- Estimated timelines are provided in good faith and may vary due to production complexity, vendor capacity, or force majeure events.
- Buildory will notify clients promptly of any anticipated delays.
- Delivery timelines commence from the date of full advance receipt AND approved artwork, not from the date of enquiry.
- Unless otherwise agreed in writing, delivery risk transfers upon delivery to the designated logistics provider or upon client collection.
7. Order Cancellation
Orders may not be cancelled after production, procurement, sampling, or vendor allocation has commenced. Cancellation charges may apply depending on work completed and third-party commitments incurred.
8. Returns, Reprints & Disputes
- Customised and printed goods are non-returnable unless there is a proven manufacturing defect attributable to Buildory.
- Claims for defects must be raised in writing within 72 hours of delivery, accompanied by photographic evidence.
- Remedies for verified manufacturing defects may include repair, reprint, replacement, service credit, or refund at Buildory’s discretion where required under applicable law.
- Minor colour, finishing, placement, material, and dimensional variations reasonably inherent to commercial production processes shall not constitute defects.
9. Acceptance
Services and deliverables shall be deemed accepted unless material issues are reported within the claim period specified in these Terms.
10. Intellectual Property
- All creative assets, designs, and brand files supplied by the client remain the intellectual property of the client.
- Any templates, production methodologies, or proprietary processes developed by Buildory remain the exclusive property of Buildory.
- Buildory may reference completed work for portfolio purposes unless restricted by NDA, confidentiality agreement, procurement terms, or written instruction.
11. Client Responsibilities
Clients represent that all content, artwork, trademarks, logos, and materials supplied to Buildory are owned by them or used with proper authorisation. Buildory shall not be liable for third-party intellectual property claims arising from client-supplied materials.
12. Confidentiality
Both parties agree to treat the other's business information shared during the engagement as confidential and not disclose it to any third party without prior written consent, except as required by law.
13. Force Majeure
Buildory shall not be liable for delays or non-performance caused by circumstances beyond its reasonable control, including natural disasters, government restrictions, industrial action, supply chain disruptions, or pandemic-related events.
14. Limitation of Liability
To the maximum extent permitted by law, Buildory's total liability for any claim arising from a service engagement shall not exceed the invoice value of the specific order to which the claim relates. We are not liable for indirect, consequential, or special damages.
15. Electronic Communications
Approvals, quotations, purchase confirmations, and notices exchanged via email, approved messaging platforms, CRM systems, or authorised digital channels may constitute written communication.
16. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. Parties may attempt mediation or arbitration prior to court proceedings. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India.
17. Amendments
Buildory reserves the right to update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
